Self-Hosted Software Evaluation & License Agreement

1. Evaluation License (Proof of Concept)

Provider grants Customer a limited, non-exclusive, non-transferable, non-sublicensable evaluation license to deploy and use Provider's software (the "Software") solely for a proof-of-concept evaluation within Customer's own cloud environment.

• Evaluation Period: Four (4) weeks from the Effective Date
• Purpose: Internal evaluation and technical validation
• Hosting: Software shall be deployed entirely within Customer's cloud infrastructure (e.g., Customer's AWS account)

2. Evaluation Scope and Restrictions

During the Evaluation Period, the customer may connect the Software to its production systems and use real production data solely for internal evaluation and validation purposes.

Notwithstanding the foregoing, Customer shall not:

• (a) rely on the Software for business-critical, customer-facing, or revenue-generating decisions;
• (b) use the Software as a system of record;
• (c) permit the Software to write to, modify, or disrupt production systems without Provider's prior written consent; or
• (d) represent the Software as production-ready or generally available.

The Software is provided on a non-reliant, evaluation-only basis during the Evaluation Period.

3. Fees – Evaluation Phase

POC Fee: $99 (paid via Stripe checkout)

The Software includes technical license enforcement mechanisms. Customer acknowledges that the Software will not operate, or may cease operating, without a valid license key issued by Provider in connection with payment of the applicable POC fee. Circumventing or attempting to bypass license enforcement is prohibited.

4. Transition to Production License

If Customer elects to continue using the Software after the Evaluation Period, the parties may enter into a separate Self-Hosted Production License Agreement. Nothing in this Agreement obligates either party to enter into a production license.

5. Data Ownership & Access

• All data processed by the Software ("Customer Data") remains the exclusive property of Customer.
• Provider does not access Customer Data except with explicit, time-bound, written authorization for limited support purposes.

6. Compliance & Regulatory Responsibility

Customer is solely responsible for ensuring its use of the Services complies with all applicable laws, regulations, and industry standards.

Without limiting the foregoing, Customer is responsible for compliance with laws and regulations relating to:

• Data protection and privacy
• Financial, trade, and export controls
• Anti-money laundering and sanctions
• Any other regulations applicable to Customer's business or data

Provider acts solely as a software licensor and does not provide legal, regulatory, compliance, financial, or advisory services. Provider does not act as a data controller, payment processor, or regulated intermediary on customer's behalf.

7. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable care and to use such information solely for purposes of this Agreement. Confidential information includes non-public technical, business, pricing, and product information disclosed during the Evaluation Period.

8. Support Access (If Applicable)

Any support access to customer systems must be:

• Explicitly approved by Customer in writing
• Time-bound and logged
• Revocable at any time

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" DURING THE EVALUATION PERIOD. PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Customer acknowledges that any use of the Software during the Evaluation Period is at Customer's sole risk.

10. Termination

This Agreement may be terminated:

• By either party at any time during the Evaluation Period with written notice; or
• Immediately by Provider if continued use would reasonably expose Provider to legal, regulatory, or sanctions-related risk.

Upon expiration or termination of the Evaluation Period, any evaluation license keys issued shall automatically expire and the Software shall cease to function. Customer shall promptly uninstall the Software and certify in writing that all copies have been removed, unless a production license has been executed.

11. No Endorsement / Publicity

The customer may not use Provider's name, logo, or trademarks in marketing, press releases, or other public statements without prior written consent.

Nothing in this Agreement constitutes an endorsement of Customer's activities by Provider.

12. Intellectual Property

The Software and all intellectual property rights therein remain the exclusive property of Provider. No rights are granted except as expressly stated in this Agreement.

13. Limitation of Liability

To the maximum extent permitted by law, Provider's total liability under this Agreement shall not exceed the total fees (if any) paid by Customer under this Agreement. Provider shall not be liable for indirect, incidental, special, punitive, or consequential damages.

14. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior discussions or agreements.
