4-Week Proof of Concept with Option for Production License

This Self-Hosted Software Evaluation & License Agreement ("Agreement") is entered into between Aruna Labs, Inc., makers of Arka Analytics ("Provider") and the Customer upon payment of the POC fee.
Provider grants Customer a limited, non-exclusive, non-transferable, non-sublicensable evaluation license to deploy and use Provider's software (the "Software") solely for a proof-of-concept evaluation within Customer's own cloud environment.
During the Evaluation Period, the customer may connect the Software to its production systems and use real production data solely for internal evaluation and validation purposes.
Notwithstanding the foregoing, Customer shall not:
The Software is provided on a non-reliant, evaluation-only basis during the Evaluation Period.
POC Fee: $99 (paid via Stripe checkout)
The Software includes technical license enforcement mechanisms. Customer acknowledges that the Software will not operate, or may cease operating, without a valid license key issued by Provider in connection with payment of the applicable POC fee. Circumventing or attempting to bypass license enforcement is prohibited.

The Arka Analytics container image will not start or function without a valid evaluation license issued after completing checkout at:
Unauthorized use or attempts to bypass license enforcement are prohibited.
If Customer elects to continue using the Software after the Evaluation Period, the parties may enter into a separate Self-Hosted Production License Agreement. Nothing in this Agreement obligates either party to enter into a production license.
Customer is solely responsible for ensuring its use of the Services complies with all applicable laws, regulations, and industry standards.
Without limiting the foregoing, Customer is responsible for compliance with laws and regulations relating to:
Provider acts solely as a software licensor and does not provide legal, regulatory, compliance, financial, or advisory services. Provider does not act as a data controller, payment processor, or regulated intermediary on customer's behalf.
Each party agrees to protect the other party's confidential information using reasonable care and to use such information solely for purposes of this Agreement. Confidential information includes non-public technical, business, pricing, and product information disclosed during the Evaluation Period.
Any support access to customer systems must be:
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" DURING THE EVALUATION PERIOD. PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Customer acknowledges that any use of the Software during the Evaluation Period is at Customer's sole risk.
This Agreement may be terminated:
Upon expiration or termination of the Evaluation Period, any evaluation license keys issued shall automatically expire and the Software shall cease to function. Customer shall promptly uninstall the Software and certify in writing that all copies have been removed, unless a production license has been executed.
The customer may not use Provider's name, logo, or trademarks in marketing, press releases, or other public statements without prior written consent.
Nothing in this Agreement constitutes an endorsement of Customer's activities by Provider.
The Software and all intellectual property rights therein remain the exclusive property of Provider. No rights are granted except as expressly stated in this Agreement.
To the maximum extent permitted by law, Provider's total liability under this Agreement shall not exceed the total fees (if any) paid by Customer under this Agreement. Provider shall not be liable for indirect, incidental, special, punitive, or consequential damages.
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior discussions or agreements.
